These Terms and Conditions ("Terms") govern your access to and use of Calimatic EdTech services provided by Caliber Technologies Inc ("Calimatic," "we," "us," or "our").

Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

Description of Services

Calimatic provides a cloud-based education management platform that includes:

  • Student information management
  • Class scheduling and management
  • Learning management system (LMS)
  • Virtual classroom capabilities
  • Billing and payment processing
  • Communication tools
  • Reporting and analytics

    • Account Registration

    Eligibility

    You must be at least 18 years old and have the authority to bind your organization to enter into these Terms.

    Account Security

    You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

    • Subscription and Payment

    Fees

    You agree to pay all fees associated with your subscription plan as described on our pricing page or in your order form.

    Billing

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as stated in our Refund Policy
  • We may change our fees upon 30 days' notice

    • Payment Terms

  • Payment is due upon invoice
  • Late payments may result in service suspension
  • You are responsible for all applicable taxes

    • Acceptable Use

    You agree not to:

  • Use our services for any illegal purpose
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Attempt to gain unauthorized access
  • Interfere with other users' access
  • Send spam or unsolicited communications
  • Use the services to store or transmit inappropriate content

    • Data Ownership and Use

    Your Data

    You retain all rights to your data. You grant us a license to use your data solely to provide our services to you.

    Student Data

    When processing student data, you represent that you have obtained all necessary consents and authorizations required by applicable laws.

    Intellectual Property

    Our Property

    The Calimatic platform, including all software, designs, and content, is owned by us and protected by intellectual property laws.

    Your Content

    You retain ownership of content you create using our services, subject to our license to provide the services.

    Privacy

    Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

    Disclaimers

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

    We do not warrant that:

  • The services will meet your requirements
  • The services will be uninterrupted or error-free
  • Defects will be corrected
  • The services are free of viruses or harmful components

    • Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALIMATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

    Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

    Indemnification

    You agree to indemnify and hold harmless Calimatic and its affiliates from any claims arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights

    • Term and Termination

    Term

    These Terms remain in effect while you use our services.

    Termination by You

    You may cancel your subscription at any time through your account settings or by contacting us.

    Termination by Us

    We may suspend or terminate your access immediately if you violate these Terms or for any other reason with 30 days' notice.

    Effect of Termination

    Upon termination:

  • Your access to the services will cease
  • You may export your data within 30 days
  • We may delete your data after 30 days

    • Changes to Terms

    We may modify these Terms at any time. We will provide notice of material changes through our services or by email. Continued use after changes constitutes acceptance.

    General Provisions

    Governing Law

    These Terms are governed by the laws of the State of Minnesota, USA.

    Dispute Resolution

    Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

    Entire Agreement

    These Terms constitute the entire agreement between you and Calimatic regarding our services.

    Severability

    If any provision is found unenforceable, the remaining provisions will continue in effect.

    Waiver

    Our failure to enforce any right or provision shall not constitute a waiver.
